About The Role We are looking hire a smart and ownership-driven individual for managing all the secretarial and corporate law matters for the smallcase group. This is an individual contributor role owning the entire secretarial function with a high growth potential as the organisation grows. Key Responsibilities Prepare agendas and notices for board and shareholder meetings Convene and service meetings (BMs, EGMs & AGMs), take minutes, draft resolutions, and lodge required forms & returns with the appropriate departments Maintain all the statutory records/books, including registers of members, directors, and shareholders Identify and manage related party transactions between the entities within the group Ensure, on a continuous basis, that the regulatory changes affecting the organisation are informed to the right stakeholders and subsequent steps are taken to ensure compliance Setup processes and systems to manage the secretarial function Assist on legal matters including contract drafting, review and negotiation Assist on other regulatory matters with SEBI and/or RBI on need basis Requirements A qualified Company Secretary with 4-6 years of post-qualification experience Working knowledge of various procedures involved (specifically ROC filings) in matters such as change in directorship, fund infusion, and annual filing Ability to interpret, analyse and advise on corporate law matters Experience in legal matters including contract drafting, reviews and negotiation is desirable Experience of having worked in startups and financial services sector is a big plus Ability to work independently with limited supervision, a strong sense of ownership and a problem-solving mindset Effective verbal and written communication skills Culture at smallcase We are not just building a business – we are making a long-lasting impact both in the wealth & assets landscape with our unique technology & expanding ecosystem.
